The Board of Directors of Bonia Corporation Berhad ("Bonia" or "Company") wishes to inform that the Company has on 9 May 2007 acquired the entire equity interest in NEW SERIES SDN BHD ("NSSB") comprising 2 ordinary shares of RM1.00 each for a total cash consideration of RM2.00 only from Cik Noraini Binti Abdullah and Encik Zainudin Bin Koming who were also the Directors of NSSB ("Acquisition").
NSSB is a dormant company and its current authorised share capital is RM100,000 comprising of 100,000 ordinary shares of RM1.00 each, of which 2 shares have been issued and fully paid-up.
The intended principal activities of NSSB are marketing and distribution of men's apparel.
The Acquisition has no material effect on the earnings per share, net tangible assets per share, share capital and the substantial shareholdings of the Company for the financial year ending 30 June 2007.
None of the Directors or major shareholders or persons connected to the Directors or major shareholders of Bonia or its subsidiaries have any interest, direct or indirect, in the Acquisition.
