The Board of Directors of Bonia Corporation Berhad ("Bonia" or "the Company") is pleased to announce that the Company had on 22 January 2007 acquired the entire equity interest in Mcolours & Design Sdn Bhd ("MDSB") comprising 5,000 ordianry shares of RM1.00 each for a total cash consideration of RM5,000 only from Mr Tey Chee Hong and Mdm Eu Ek Moi who were also the Directors of MDSB (the "Acquisition"). The Acquisition has resulted MDSB becoming a wholly-owned subsidiary of Bonia.
MDSB is a dormant company and its current authorised share capital is RM100,000 comprising of 100,000 ordinary shares of RM1.00 each of which 5,000 shares have been issued and fully paid-up.
The intended principal activities of MDSB are products design, research and developments.
The Acquisition has no material effect on the earnings per share, net tangible assets per share, share capital and the substantial shareholdings of the Company for the financial year ending 30 June 2007.
None of the Directors or major shareholders or persons connected to the Directors or major shareholders of Bonia or its subsidiaries have any interest, direct or indirect, in the Acquisition.
The Acquisition is not subject to the approval of the shareholders and any other relevant authority.
